1. Scope and Precedence
Find My Swiss School GmbH (“FSS”) provides independent education consulting services for Private and Corporate Clients as well as school authorities (“Clients”). These General Terms and Conditions (“GTC”) govern all services provided by FSS to the Client and related third parties, including any materials, presentations, calls, written recommendations, and deliverables (collectively, the “Services”).
If the Client and FSS agree on written special terms (e.g., an offer, statement of work, or fee proposal), those special terms prevail over these GTC to the extent of any conflict; otherwise, these GTC prevail over any Client terms.
2. Services
FSS provides to Clients information, analysis, and recommendations relating to the Swiss education landscape (including cantonal public-school systems and private/international day school and boarding school options). FSS also provides support and guidance through education transitions either local or international. FSS delivers bespoke advice for Clients on their children’s specific needs.
FSS disposes of a comprehensive network with providers and specialists in the field of education and school psychological services, either public or private. FSS may engage reputable third-party specialists (e.g., educational psychologists etc.) at the Client’s request, and any third-party services are contracted and billed as agreed.
The Services do not constitute legal, tax, medical, therapeutic and do not include any guarantee of admission, placement, school capacity, outcomes, or decisions by authorities or schools.
2.1 Corporate Clients
For Corporate Clients (including relocation providers), FSS typically delivers briefings and presentations on the Swiss school system and any related topics for the Corporate Clients’ employees, assignees, or end-clients.
Corporate Clients are responsible for ensuring that any third parties who receive the presentation understand that it is informational and not a guarantee of individual outcomes, and for obtaining any permissions required to share it internally.
2.2 Private Clients
FSS advises Private Clients (families, parents, children, young adults) on their school needs.
The range of services encompasses an intake, analysis of the client’s situations, needs and goals and provides tailored proposals and guidance on how to best meet the needs and goals.
Private Clients remain solely responsible for applications, decisions, and communications with schools and authorities unless otherwise agreed. If Services concern minors, Private Clients confirm they have the necessary parental authority/consent to share information and receive advice on the minor’s behalf.
3. Means of Contact
Clients may contact FSS via email, the FSS website, messaging services, or phone. Unless mandatory law requires otherwise, notices are deemed received when sent to the latest contact details provided by the receiving party (email delivery to the recipient’s server is sufficient).
4. Entering Into Consulting Agreement with FFS (conclusion of contract)
FSS shall enter into a consulting agreement with Clients either in writing (e.g. signing the client intake form or by any other means) or verbally according to Art. 394 et seq. Swiss Code of Obligations.
5. Independent Advice
FSS provides independent advice. If, exceptionally, a potential conflict of interest arises (e.g., a sponsored event or referral arrangement), FSS will disclose it to Clients before proceeding.
6. Renumeration
Renumeration for the above outlined services shall be paid according to the published pricing list or as individually agreed (e.g., hourly, package, or fixed fee). Unless agreed otherwise, invoices are payable within 30 days from the invoice date. In case of statutory default, interest of 5 % applies after due date according to Art. 104 Swiss Code of Obligations.
7. Information of Clients
Clients shall provide complete, accurate, and timely information and shall cooperate as reasonably required for the performance of the Services. FSS is not responsible for delays or disadvantages resulting from incomplete information, late responses, or instructions that change the agreed scope.
8. Value-added Tax (“VAT”)
Services provided by FSS are subject to Swiss VAT where applicable and will be shown on the invoice.
9. Data Protection, Data Security and Confidentiality
Data entrusted to FSS are treated according to principles of the Swiss Federal Act on Data Protection (FADP/nSDG Sep. 2023). In case of transferring data abroad or to third parties to provide services as outlined above, Clients agree to such transfer. Clients authorize FSS to process data by electronic means. Clients expressively accept FSS’ privacy policy published on the FSS website https://findmyswissschool.ch/privacy-policy.
Unless otherwise agreed, Clients are responsible for ensuring they have a legal basis to share data (including data of minors) and FSS acts as an independent controller for the purposes of providing the Services (communication, assessment, preparation of recommendations, invoicing, and record-keeping). Data are retained only as long as necessary for these purposes and legal obligations.
10. Liability
FSS performs the Services as a mandate (Auftrag) within the meaning of Art. 394 et seq. Swiss Code of Obligations, with due care and diligence and based on the information and instructions provided by Clients. Clients acknowledge that decisions and outcomes (including admissions and authority decisions) remain outside FSS’s control; FSS does not guarantee or owe any specific results.
To the extent permitted by mandatory law, FSS, its executive bodies and employees are liable only for directly caused and proven damages, if such damage was caused by willful misconduct or gross negligence.
11. Intellectual Property and Permitted Use
All materials created by FSS (presentations, written recommendations, templates) remain FSS’s intellectual property; Clients receive a non-transferable right to use them internally for the intended purpose. Any external distribution, publication, or reuse (including third parties) requires prior written consent of FSS.
12. Term and Termination
Either party may terminate the mandate at any time with immediate effect; Clients shall pay for Services performed and costs incurred up to termination. If termination occurs shortly before scheduled work already prepared by FSS, the cancellation rule in clause 6 applies accordingly.
13. Applicable Law and Place of Justice
All contractual agreements concluded between FSS and Clients shall be governed by Swiss law and the place of jurisdiction is the domicile of FSS at the time of the claim is filed.
